The Platform(s) of Pure Brands, encompassing websites and other digital platforms (collectively referred to as the “Platform(s)”), including those found at www.purebrands.com are provided by the Company. As used herein, references to the Company (or “we,” “us,” and “our”) pertain to Pure Brands, while the terms “you,” “your,” or “user” refer to anyone accessing or visiting the Platform(s). These Terms of Use, inclusive of the following terms and conditions (the “Terms”), along with any other policies referenced or linked within, govern your interaction with, access to, and use of the Platform(s) as well as the Company Material (defined below) available therein. Company Material Unless otherwise indicated, all content on the Platforms, including, but not limited to, audio, images, photographs, videos, illustrations, text, music, and software (collectively, “Company Material”), as well as the design, layout, appearance, and organization of Platform content, is owned by Pure Brands or licensed by third parties, or otherwise safeguarded by law. Your use of the Platform(s) does not grant you any title or ownership rights to any Company Material (including, but not limited to, any copyrights, trademark rights, patent rights, database rights, moral rights, and other intellectual property and proprietary rights therein), except as expressly permitted herein. Subject to these Terms, and provided you comply fully with them, we grant you a limited, non-exclusive, non-transferable license to access, view, and display the Company Material for personal, educational, and non-commercial purposes (“Permitted Uses”) on your electronic device. Any reproduction, modification, downloading, transmission, distribution, or unauthorized use of the Platform(s) or Company Material without explicit prior written consent from Pure Brands or the relevant rights owner is prohibited. Breach of these Terms automatically terminates your permission to use Company Material, and any unauthorized copies must be promptly deleted. Trademark Notice The trademarks, trade names, logos, and service marks (“Trademarks”) visible on the Platforms or in the Company Material are the registered or unregistered trademarks of Pure Brands or other entities and should not be used without express authorization from the relevant Trademark owner. Copyright Notice All content on the Platforms, including Company Materials, is either Copyright © Pure Brands or licensed for use by Pure Brands. All rights are reserved. User Accounts Certain Platform features may necessitate user account registration by creating a unique username and password. The Platform’s information collection and usage policies related to account registration are detailed in our Privacy Policy (referenced above). You agree to furnish only true, accurate, current, and complete information and accept responsibility for all activities under your user account. Please note, we are not obliged to verify the identity of any person using your account and reserve the right, at our sole discretion and without notice, to suspend or terminate your user account as described in the Termination and Suspension section below. Your Submissions and Unsolicited Communications Pure Brands does not solicit or wish to receive confidential or proprietary information or materials from users. Any unsolicited materials transmitted via the Platform(s) (e.g., through social media, electronic mail, or other means) shall be deemed non-confidential and non-proprietary and may be utilized by us in line with these Terms of Use. By submitting unsolicited communications or materials through the Platform(s), you agree that: (i) You grant Pure Brands a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, unrestricted, sublicensable, and transferable license to use, reproduce, modify, publish, distribute, and display such communications in any form, media, or technology; (ii) Anything transmitted may be used by Pure Brands and its affiliates for any purpose, including reproduction, disclosure, transmission, publication, and marketing; (iii) You waive any known or unknown claims against Pure Brands or its affiliates related to intellectual property rights used by Pure Brands under these Terms of Use; and (iv) We are not responsible for maintaining and may delete or discard any unsolicited communications or materials provided by you. You are prohibited from posting or transmitting unlawful, threatening, libelous, obscene, pornographic, or other material violating any law, including copyright law and the Health Insurance Portability and Accountability Act of 1996. Limitation of Liability Pure Brands strives for accuracy and completeness but does not guarantee that Company Material is error-free or reliable. You acknowledge that Pure Brands makes no warranty under these Terms of Use. We do not warrant that the functional or technical aspects of the Platforms or Company Material will be error-free or that the Platforms, Company Material, or their servers are free of harmful components. We are not liable for costs incurred due to Platform use. Everything on the Platforms is provided “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Pure Brands and its affiliates disclaim all such warranties. We make no warranties regarding the Company Material, software, text, downloads, graphics, or links, or the results obtained from using the Platforms. TO THE MAXIMUM EXTENT PERMISSIBLE UNDER APPLICABLE LAW, NEITHER PURE BRANDS NOR ANY AFFILIATES SHALL BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, COMPENSATORY, CONSEQUENTIAL, INCIDENTAL, EXEMPLARY, OR SPECIAL DAMAGES, WHETHER IN CONTRACT, TORT, OR OTHERWISE, ARISING FROM PLATFORM USE, INFORMATION AVAILABLE ON THE PLATFORMS, OR LIABILITY RELATING TO LOSS OF USE, BUSINESS INTERRUPTION, LOST PROFITS, OR LOST DATA, EVEN IF NOTIFIED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES. Please note that in certain jurisdictions, consumer protection laws may limit certain exclusions or limitations of warranties or liabilities, potentially affecting the applicability of some exclusions and limitations outlined above. You agree that you are solely responsible for your conduct on the Platforms and represent that: (i) you own the material provided by you or have the right to grant the licenses as per these Terms, and (ii) your posted material does not violate the rights of any person. You shall indemnify us and all Company affiliates against any and all Claims arising from: (a) your breach of these Terms of Use, (b) unauthorized or unlawful Platform access using your credentials, and (c) material provided by you (including Claims regarding violation of privacy, copyright, or intellectual property rights). Links & Linking The Platforms may feature links to third-party platforms operated by our affiliates or others. Inclusion of any link to such third-party sites does not imply endorsement by Pure Brands. We have not reviewed all content on linked sites and are not responsible for their accuracy or content. Clicking on off-site links is at your own risk. We advise compliance with terms and policies of other digital platforms visited from our Platforms. Pure Brands does not authorize linking to its Platforms from third-party platforms without express written authorization. We may insist on discontinuing any link to our Platforms and may revoke your linking rights. Framing, mirroring, scraping, or data-mining of the Platforms or Company Material in any form is strictly prohibited. Termination and Suspension We reserve the right to terminate or suspend your Platform access if we reasonably believe you have violated these Terms of Use, infringed rights, or acted inconsistently. Sections titled “Limitation of Liability” and “General Provisions” survive termination of these Terms of Use. If any term or provision of these Terms of Use is deemed invalid, illegal, unenforceable, or inoperative by a competent court, such term or provision will be minimized or reformed to align with Pure Brands’ intentions, enabling the remaining Terms to remain valid and enforceable. These Terms of Use constitute the entire agreement between you and us concerning Platform use, superseding all prior agreements. These Terms can only be amended by written agreement executed by authorized signatories of both parties. Waivers by Pure Brands are effective if signed by authorized signatories, do not preclude subsequent exercise of rights, and do not constitute a continuing waiver. Failure or delay in exercising any right under these Terms does not waive that or any other right. You may not assign these Terms without our prior written approval. We may assign our rights and obligations without notice. These Terms are binding upon both parties and their successors and assigns. Applicable Law and Jurisdiction These Terms of Use and legal relations between you and us are governed by Canadian laws, applicable to agreements wholly within Canada.
